1. About these terms
These Terms & Conditions (“Terms”) govern access to and use of the ZeonPay website, merchant API, integration sandbox and dashboard (together, the “Services”) provided by Zeontech Limited (“ZeonPay”, “we”, “us”).
By accessing the website or using the Services you agree to these Terms. Merchants may also sign a separate written agreement or order form; if it conflicts with these Terms, that agreement prevails for the merchant relationship.
2. Our role
ZeonPay is a technology and integration provider. We connect merchants to third-party payment service providers (“Providers”) and supply an API, hosted payment pages, status queries, balance information, notifications and reporting.
We do not hold a payment licence of our own. We are not a bank, e-money institution or licensed payment institution, and we do not offer regulated financial services directly. Payment processing, settlement and the associated regulatory obligations are performed by the relevant Providers and banks under their own licences and terms, which also apply to the merchant.
3. Eligibility and onboarding
- Services are offered to businesses only, and only after we have completed onboarding review.
- You must provide accurate, complete and current information, including identity, ownership and business-activity details, and keep it updated.
- We may request supporting documents at any time, and may decline, limit, suspend or end any application or account at our discretion where required by law, our Providers or our risk policies.
- Live processing is enabled only after the integration checklist is completed and our team has activated the account.
4. Accounts, credentials and security
You are responsible for all activity under your account. Keep API tokens, passwords and two-factor devices confidential, restrict access to authorised personnel, and notify us immediately at support@zeontech.org if you suspect compromise. We may rotate or revoke credentials at any time for security reasons.
5. Use of the Services
You must use the Services lawfully and in accordance with our Acceptable Use Policy. You must not attempt to disrupt, probe or reverse-engineer the Services, bypass limits or controls, or use the sandbox to simulate fraud against third parties. The sandbox uses simulated banks, balances and outcomes; sandbox results do not guarantee live availability, funds movement or settlement.
6. Transactions, callbacks and reconciliation
- Deposit and withdrawal results are reported to you through status queries and signed callbacks. Final status depends on information supplied by the Provider and the banks.
- You must implement your callback receiver to acknowledge notifications and should reconcile using status queries. You are responsible for your own order fulfilment decisions.
- You must use a unique reference for each new transaction and must not process the same order twice because of a delayed or repeated notification.
- Amount limits, supported channels and availability are set per merchant and may change.
7. Fees and settlement
Fees, settlement timing and any reserves or limits are set out in your merchant agreement or order form and in the applicable Provider's terms. Unless agreed in writing, ZeonPay does not hold customer funds as a custodian. Where funds flow to or from the merchant, they do so through the arrangements agreed with the Provider. We may set off amounts you owe us as permitted by your agreement and by law.
8. Refunds, disputes and chargebacks
The merchant is responsible for its relationship with its customers, including refunds, complaints and disputes. We will reasonably assist with investigations, but the outcome of any dispute is determined by the Provider and the banks involved. Merchants remain responsible for any amounts reclaimed or reversed for reasons attributable to the merchant.
9. Compliance and sanctions
Each party shall comply with laws applicable to its activities, including anti-money-laundering, counter-terrorist-financing, sanctions, export-control, consumer-protection and data-protection laws. You must not use the Services for, or on behalf of, any person or jurisdiction subject to applicable sanctions. We may monitor activity, share information with Providers and authorities where required, and freeze or delay transactions where we reasonably suspect a violation.
10. Availability and changes
We aim to keep the Services available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, change features, or suspend routes where a Provider, bank or network is unavailable. We will give reasonable notice of material changes where practicable.
11. Intellectual property
ZeonPay and its licensors own all rights in the Services, documentation, trademarks and logos. We grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes during the term. You retain ownership of your data and content.
12. Confidentiality and data protection
Each party shall keep the other's non-public information confidential and use it only to perform or receive the Services, except where disclosure is required by law or to our Providers and advisers under confidentiality duties. Our handling of personal data is described in our Privacy Policy.
13. Suspension and termination
We may suspend or terminate access immediately, with or without notice, if we reasonably believe there has been a breach of these Terms or the Acceptable Use Policy, suspected fraud or illegal activity, a request from a Provider, bank or authority, or a security or compliance risk. You may stop using the Services at any time, subject to any notice period and obligations in your merchant agreement. Provisions that by their nature should survive termination will survive.
14. Disclaimers and limitation of liability
To the maximum extent permitted by law, the Services are provided “as is” and we disclaim implied warranties. We are not liable for acts or omissions of Providers, banks, networks or other third parties, or for indirect, incidental or consequential loss, loss of profit, revenue or data. Our total aggregate liability arising out of the Services in any 12-month period is limited to the fees you paid to us in that period, except where liability cannot be limited by law (for example, for fraud or wilful misconduct).
15. Indemnity
You shall indemnify and hold ZeonPay harmless against claims, fines, losses and reasonable costs arising from your breach of these Terms or applicable law, your content or products, or the activities of your customers, to the extent permitted by law.
16. Governing law and disputes
These Terms are governed by the laws of [Governing Jurisdiction], and the courts of that jurisdiction have exclusive jurisdiction, unless your merchant agreement states otherwise. Please contact us first at legal@zeontech.org so we can try to resolve any concern informally.
17. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date shows the latest version. Continued use of the Services after changes take effect means you accept them. Material changes affecting merchants will be notified by email or through the dashboard.
